Abstract


The current study examines the relationship between corporate governance mechanisms: Board structure and capital structure on the performance of Moroccan universal banks. It aims to contribute to the literature by providing empirical evidence of the association between banks performance and corporate governance characteristics using panel data analysis on the eight principal banks in Morocco over the period from 2007 to 2016. Findings suggest that on one side role duality, audit committee existence and foreign capital have a significant negative impact on bank performance. On the other side, finding indicates a positive significant relationship between board size, institutional investors and state ownership on bank performance measured by ROAA.

Abstract: (french)


Cette étude se propose d’analyser empiriquement les effets des mécanismes de la gouvernance bancaire (structure du conseil d’administration et structure de l’actionnariat) sur la performance des banques marocaines par une modélisation économétrique en données de panel construite sur les huit principales banques universelles marocaines portant sur une durée de 10 ans de 2007 à 2016. Les résultats de cette étude montrent que les variables représentant la dualité, l’existence du comité d’audit et les capitaux détenus par les investisseurs étrangers ont un effet statistique significatif et négatif sur la performance bancaire, alors que les variables représentant la taille du conseil, la participation des investisseurs institutionnels et la participation de l’Etat ont un impact statistique significatif positif sur la performance des banques mesurée par le ROAA.
